Terms of Service

Please read these Terms carefully. By creating an account or using the WhatsGrow AI platform, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and WhatsGrow AI.

1. Agreement and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the WhatsGrow AI software-as-a-service platform, website, APIs, and all related services (collectively, the “Service”) provided by WhatsGrow AI (“Company,” “we,” “us,” or “our”).

By clicking “Sign Up,” “Start Free Trial,” or otherwise accessing or using our Service, you confirm that: (a) you are at least 18 years old; (b) you have the legal authority to enter into this agreement; and (c) if you are accepting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.

2. Service Description

WhatsGrow AI is a cloud-based platform that provides businesses with tools to manage WhatsApp Business communications, including:

The Service connects to the WhatsApp Business API provided by Meta Platforms, Inc. Use of the WhatsApp Business API is also subject to Meta's WhatsApp Business Policy and Commerce Policy.

We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice. We will not remove core functionality without at least 30 days' advance notice to active subscribers.

3. Account Registration and Responsibilities

3.1 Registration

To use the Service, you must register for an account by providing accurate, current, and complete information. You agree to keep this information updated. Providing false information is grounds for immediate account termination.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must:

Each WhatsApp Business number may only be connected to one WhatsGrow AI workspace. Creating multiple accounts to circumvent plan limits is prohibited and may result in account termination without refund.

4. WhatsApp Business API Compliance

This section is critically important.Non-compliance with Meta's policies can result in your WhatsApp Business number being permanently banned by Meta. WhatsGrow AI is not responsible for account bans resulting from your policy violations.

By using our Service, you agree to comply with all applicable WhatsApp and Meta policies at all times. Specifically, you must:

WhatsGrow AI reserves the right to suspend your account without refund if we determine you are violating WhatsApp's policies or using the platform in a way that puts our WhatsApp Business Solution Provider (BSP) status at risk.

We may monitor use of the Service for compliance with these policies. Violation may result in immediate account suspension or termination without refund.

6. Billing and Subscriptions

6.1 Subscription Plans

WhatsGrow AI offers subscription plans billed monthly or annually. Current plan pricing is available at whatsgrowai.com/pricing. All prices are in USD unless otherwise stated. Pricing is exclusive of applicable taxes (VAT, GST, etc.) which will be added at checkout based on your location.

6.2 Payment Processing

Payments are processed by Stripe (international) and Razorpay (India). By providing payment details, you authorise us to charge your payment method for the selected plan on a recurring basis. Subscriptions auto-renew unless cancelled before the renewal date.

6.3 Failed Payments

If a payment fails, we will retry the charge up to 3 times over 7 days. If payment remains unsuccessful, your account will be downgraded to read-only mode, and after 14 days, access may be suspended. Your data will be retained for 30 days after suspension to allow for reactivation.

6.4 Price Changes

We may change subscription pricing with at least 30 days' written notice to existing subscribers. Price changes take effect at the start of your next billing cycle after the notice period. You may cancel before the price change takes effect if you do not accept the new pricing.

6.5 WhatsApp API Fees

WhatsApp Business API conversation fees charged by Meta are separate from and in addition to WhatsGrow AI subscription fees. These fees are billed directly by Meta or through your Meta Business Account. We have no control over Meta's pricing.

7. Free Trial

We offer a 14-day free trial with full access to Pro plan features. No credit card is required to start the trial. At the end of the trial period:

We reserve the right to limit or discontinue free trial eligibility to prevent abuse. Only one free trial is permitted per business entity.

8. Cancellation and Refunds

8.1 Cancellation

You may cancel your subscription at any time from your Account Settings > Billing page. Cancellation takes effect at the end of your current billing period. You retain full access until that date.

8.2 Refund Policy

We operate a no-refund policy for completed billing periods with the following exceptions:

9. Intellectual Property Rights

9.1 Our Intellectual Property

The WhatsGrow AI platform, including its software, algorithms, interfaces, branding, logos, designs, and documentation, is the exclusive property of WhatsGrow AI and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business purposes during your subscription period.

9.2 Your Content

You retain all ownership rights to data, content, contacts, messages, and files you store on our platform (“Customer Data”). You grant WhatsGrow AI a limited licence to process Customer Data solely to provide, maintain, and improve the Service on your behalf.

9.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free licence to use that feedback to improve our products without any obligation to you.

10. Your Data

We process Customer Data in accordance with our Privacy Policy and, where applicable, as a data processor under a Data Processing Agreement (DPA). GDPR customers may request a DPA by emailing legal@whatsgrowai.com.

You are the data controller for all personal data of your end users and contacts. You are responsible for ensuring you have the lawful basis to process their data using our platform.

Upon account termination or deletion, we will delete all Customer Data within 30 days, except as required by law or our data retention obligations.

11. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHATSGROW AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WHATSGROW AI BE LIABLE FOR:

Our aggregate liability to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of: (a) the total fees paid by you to us in the three (3) months immediately preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain types of damages, so the above limitations may not apply to you.

12. Term and Termination

12.1 Term

These Terms are effective from the date you first access the Service and continue until your subscription expires or is terminated.

12.2 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your workspace from Account Settings. Termination does not entitle you to a refund for the current billing period unless within the 7-day refund window.

12.3 Termination by Us

We may suspend or terminate your account immediately, without notice or refund, if you:

For non-emergency terminations, we will provide at least 14 days' written notice and a chance to remedy the breach where practicable.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 60 days, disputes may be submitted to binding arbitration or the courts of the applicable jurisdiction.

For EU/UK customers, nothing in these Terms affects your statutory rights under consumer protection laws. For Indian customers, disputes shall be subject to Indian law and jurisdiction in the applicable Indian courts.

14. Changes to These Terms

We may update these Terms from time to time. For material changes (e.g., changes to liability, payment terms, or data rights), we will provide at least 30 days' notice via email and in-app notification before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not accept the changes, you may terminate your account before the effective date and, for annual plans, receive a pro-rated refund for unused months.
